Teslaの株式上場/S-Model開発にさらなる危機が
自分は過去一貫してTeslaという電気自動車メーカー(のできそこない)の将来に疑問を持っていたが、今日の報道でさらに悲観的になってしまった。

- Tesla社のCEOである、Elon Musk氏の離婚調停が開始された。
- カリフォルニア州には「Community Property Law」というのがあって、結婚してから稼いだ財産は離婚時に按分されることになっている。
- 離婚調停の結果によっては、Elon Musk CEOの所有するTesla株の「相当量」が、Justine Musk夫人に譲渡されることになる。
- そしてElon Musk CEO保有株が減るということは、Tesla社の資金繰りとS-Model開発に大きな影響を及ぼすのである。

DOE Loan Facility provides that we will be in default under the facility in the event Mr. Musk and certain of his affiliates fail to own, at any time prior to one year after we complete the project relating to the Model S, at least 65% of the capital stock held by Mr. Musk and such affiliates as of the date of the DOE Loan Facility.
- DOEがS-Model開発資金として貸しつけてくれる4億6500万ドルの資金は、Musk CEOら経営陣が保有するTesla株の割合が65%を下回らないことを前提としている。65%を下回る場合はデフォルト事象となる。
Any failure to obtain the DOE funds or secure other alternative funding could materially and adversely affect our business and prospects. Such additional or alternative financing may not be available on attractive terms, if at all, and could be more costly for us to obtain. As a result, our plans for building our Model S and electric powertrain manufacturing plants could be significantly delayed which would adversely affect our business, prospects, financial condition and operating results.
- DOEからの借入が途絶えると、S-Model開発・生産に大きな遅れが生じるよ、と登録届出書には記載されている。
- また、Musk CEOの保有株が減ることで、経営陣の入れ替えや事業戦略の修正などの可能性も排除できなくなってくる。
